1.Access to Beta Services:

Capitalised terms not specifically defined herein shall have the meaning ascribed there to in the Terms.

1.1 Rocketlane, at its sole discretion, make certain Beta Services available to You from time to time. Access to and use of such Beta Services is voluntary and shall be subject to the terms and conditions of these Beta Terms. “Beta Services” shall mean pre-release or test versions of the Services (as defined in the Terms of Service) identified as “beta,” “preview,” or similar, which are provided on an “as-is” and “as-available” basis for evaluation purposes.

1.2 Rocektlane reserves the right to determine eligibility for access to Beta Services and may suspend or terminate Your access to Beta Services at any time without any liability. 

1.3 You acknowledge that Beta Services are provided for testing and evaluation purposes only, may not be complete or fully functional, and may contain errors, bugs, defects. Rocketlane does not guarantee the availability, performance, or continued provision of Beta Services. YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH YOUR USE OF THE BETA SERVICES, INCLUDING, WITHOUT LIMITATION, ANY INTERNET ACCESS FEES, BACK-UP EXPENSES, COSTS INCURRED FOR THE USE OF YOUR DEVICE AND PERIPHERALS, AND ANY DAMAGE TO ANY EQUIPMENT, SOFTWARE, INFORMATION OR DATA. In addition, we are not obligated to provide any maintenance, technical, or other support for the Beta Services.

1.4 Rocketlane reserves the right to offer Beta Services to you for free or to charge you fees to access and use the Beta Services.

2. Permitted Use

You may use the Beta Services for internal evaluation purposes. You agree that You shall not directly or indirectly (i) use the Beta Services for business critical operations; (ii) attempt to reverse engineer, decompile or extract source code; (ii) modify, adapt, or hack the Services or otherwise attempt to gain or gain unauthorized access to the Beta Services or related systems or networks; (iv) transmit any content to the Beta Services infringing any third-party rights including intellectual property rights or privacy rights; (v) use the Beta Services in violation of applicable law and (vi) crawl,” “scrape,” or “spider” any page, data, or portion of or relating to the Beta Services (through use of manual or automated means. You shall indemnify and hold Us harmless against any third party claim arising from Your use of the Beta Services in violation of this clause.

3. Confidentiality

All information relating to the Beta Services including the feature and functionalities is Our confidential Information and You agree not to disclose any information related to the Beta Services to third parties except on a need-to-know basis in connection with the evaluation of the Beta Services.

4. Intellectual Property Rights:

4.1 As detailed in Rocketlane’s Terms of Service, Rocketlane shall own all intellectual property rights in and to the Beta Services including any related patents, inventions, copyrights, trademarks, domain names, trade secrets or know-how.

4.2 You may, from time to time, provide suggestions, comments, or other feedback Rocketlane regarding the Beta Services (“Feedback”). You agree that all Feedback is voluntary and that Rocketlane may use, disclose, reproduce, modify, or otherwise exploit such Feedback without restriction. You hereby grant Rocketlane a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate the Feedback into its products and services.

4.3 Rocketlane may perform analytics on Your use of the Beta Services and may use such aggregated and anonymized usage analytics to support and improve its products and services.

5. DATA PRIVACY

You shall not transfer any sensitive personal information the Beta Services. Each Party shall process personal data transmitted to the Beta Services in accordance with applicable data protection laws. You are responsible for the accuracy, legality and completeness of the data You input to the Beta Services.

6. Disclaimer of Warranties and Limitation of Liability

6.1 The Beta is provided 'as is' and 'as available' without any warranty of any kind, express or implied. Rocketlane expressly disclaims all warranties, including fitness for a particular purpose, merchantability, and non-infringement.

6.2 NOTWITHSTANDING ANYTHING ELSE TO THE CONTRARY, WE DISCLAIM ALL LIABILITIES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WITH RESPECT TO THE BETA SERVICES.

7. Modification and Termination

7.1 Rocketlane may modify or update the Beta Services at any time, with or without notice and without liability. Your continued use of the Beta Services after any changes will be deemed acceptance of those changes. 

7.2 Beta Services will remain available until they are either generally released or discontinued. Rocketlane may suspend, restrict, or terminate your access to the Beta Services at any time, with or without notice and without liability.

8. Miscellaneous

8.1 In the event of conflict between the Beta Terms and the general Terms of Service, these Beta Terms shall take precedence in connection with Your use of the Beta Terms.

8.2 These Beta Terms shall be governed by the laws of State of Delaware, United States of America. Any disputes or differences arising under, relating to or connected with these Beta Terms shall be resolved by mediation first, failing which they shall be resolved by final and binding arbitration administered by the American Arbitration Association, in accordance with its commercial arbitration rules for the time being in force. The arbitration shall be presided by a sole arbitrator appointed mutually by the Parties. The Parties agree that subject to the foregoing the courts situated in Wilmington, State of Delaware shall have exclusive jurisdiction over any dispute that arises from these Beta Terms.The categories of Personal Information We have collected in the twelve (12) months prior to the Effective Date and We may collect include:

8.3. Rocketlane may update these terms from time to time. Your continued use of the Beta Services after notice of changes to the Beta Terms shall constitute Your acceptance to the revised Beta Terms.

8.4. You shall have no right to assign Your rights and obligations under these Beta Terms to any third party without the prior written consent of Rocketlane.

8.5. All notices to be provided by Rocketlane to You under these Beta Terms may be delivered in writing (i) by nationally recognized overnight delivery service (“Courier”) or to the contact mailing address provided by You while registering for the Beta Services; or (ii) electronic mail to the e-mail address provided for Your Beta Services account. Rocketlane’s address for a notice to Rocketlane in writing by Courier is 3524 Silverside Road, Suite, 35B Wilmington, Delaware - 19810-4929 with a CC to care@rocketlane.com for electronic mail. All notices shall be deemed to have been given immediately upon delivery by electronic mail, or if otherwise delivered upon receipt or, if earlier, two (2) business days after being deposited in the mail or with a Courier as permitted above.

8.6. Any provisions which by their nature should survive termination or expiry of this Agreement shall so survive, including confidentiality, intellectual property, indemnity, disclaimer of warranties and limitation of liability,
